These Terms of Service ("Terms") govern your access to and use of the websites, products, downloads, software, documentation, and services provided by Notewerks LLC ("Notewerks," "we," "us," or "our"), including StepStrum and any related websites located at notewerks.com.

By accessing our website, downloading our software, purchasing a license, or using StepStrum, you agree to these Terms. If you do not agree, do not use our website or software.

Notewerks LLC is a Florida limited liability company that develops music software, MIDI tools, audio-related creative products, and related digital content.

Our products may include free software, paid software, license keys, installers, updates, documentation, downloadable files, presets, pattern banks, expansion content, and related digital materials.

StepStrum is a MIDI effect-style music software plugin designed to transform held MIDI chords into strummed or rhythmically performed MIDI output. StepStrum does not include a standalone sound library unless expressly stated.

Your use of StepStrum is also governed by the Notewerks End User License Agreement ("EULA"). If there is a conflict between these Terms and the EULA regarding software use, the EULA controls for software licensing and usage rights.

Paid products may be sold through FastSpring, our authorized reseller and merchant of record. When you purchase through FastSpring, FastSpring is responsible for processing the transaction, collecting applicable taxes, issuing order confirmations, and handling payment-related information.

FastSpring may apply its own terms and privacy practices to the checkout and payment process. Please review the applicable FastSpring terms and privacy notices presented during checkout.

Prices, product features, promotions, and availability may change at any time. We may add, modify, or remove features, editions, platforms, or supported formats. If a price or product detail is incorrect because of a typographical, technical, or display error, we may correct the error and, where appropriate, cancel or refund affected orders.

Some products may require a license key, activation, or entitlement check through a licensing provider. You are responsible for keeping your license key secure. Do not share, publish, resell, or distribute your license key except as expressly permitted by us in writing.

We may use third-party licensing services to issue, verify, or manage software licenses.

Refund eligibility is described in our Refund Policy. Approved refunds are generally processed through FastSpring or the applicable payment provider.

We may provide product support by email, documentation, release notes, and other channels. We aim to provide helpful support, but we do not guarantee any specific response time, outcome, compatibility fix, or continued support for every operating system, DAW, host, plugin format, or third-party product.

You agree not to:

• use our website or software for unlawful purposes;
• copy, modify, reverse engineer, decompile, or attempt to extract source code except where permitted by law;
• bypass licensing, activation, or access controls;
• distribute pirated, cracked, modified, or unauthorized versions of our software;
• interfere with the security or operation of our website, downloads, licensing systems, or services;
• use our products in a way that violates the rights of others.

Notewerks, StepStrum, associated product names, logos, website content, documentation, software, user interface designs, graphics, text, presets, pattern banks, and other materials are owned by Notewerks or its licensors and are protected by intellectual property laws.

Except for the limited license expressly granted to you, no rights are transferred to you.

We may use third-party services for payment processing, licensing, analytics, email delivery, hosting, downloads, customer support, and advertising or measurement. These services may have their own terms and privacy practices.

Examples may include FastSpring, LicenseSpring, Google Analytics, Meta/Facebook Business Tools if enabled, Vercel, Cloudflare, and email service providers.

Our website, software, and services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that StepStrum will be compatible with every DAW, plugin host, operating system version, MIDI workflow, virtual instrument, or third-party plugin.

To the maximum extent permitted by law, Notewerks will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost projects, business interruption, or damage to software, hardware, sessions, or recordings.

To the maximum extent permitted by law, our total liability for any claim relating to our products, website, or services will not exceed the amount you paid to Notewerks or FastSpring for the specific product giving rise to the claim during the twelve months before the claim arose.

We may update these Terms from time to time. When we do, we will update the effective date above. Continued use of our website or products after changes become effective means you accept the updated Terms.

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where applicable consumer protection laws require otherwise.
