Agreement
This End User License Agreement ("EULA") governs your installation and use of StepStrum and related Notewerks software, updates, installers, documentation, presets, pattern banks, and digital materials ("Software").
By downloading, installing, activating, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.
1. License Grant
Subject to your compliance with this EULA, Notewerks LLC grants you a limited, non-exclusive, non-transferable license to install and use the Software for personal or professional music production, composition, sound design, performance, and related creative work.
2. Lite and Pro Editions
StepStrum may be available in free and paid editions.
StepStrum Lite may be used without purchasing a Pro license, subject to any Lite feature limitations described on the website or in the Software.
StepStrum Pro requires a valid purchased license key or entitlement. Pro features may remain locked until a valid license is activated or recognized by the Software.
3. Permitted Use
You may use StepStrum to create music, MIDI performances, audio recordings, videos, commercial releases, client work, and other creative projects. You own the music and creative works you create using StepStrum, subject to any third-party rights in sounds, samples, instruments, or content you use with it.
4. Number of Installations
Unless otherwise stated at purchase or in your license terms, a StepStrum Pro license is intended for use by one individual user. You may install the Software on computers you personally use, provided the license is not shared with other users or used concurrently by multiple unrelated users.
For teams, studios, schools, or organizations, contact Notewerks for licensing guidance if multiple individuals will use the Software.
5. Restrictions
You may not:
- sell, rent, lease, sublicense, share, publish, or distribute your license key;
- copy, redistribute, upload, or make available the Software except as expressly permitted;
- reverse engineer, decompile, disassemble, modify, crack, bypass activation, or tamper with the Software except where permitted by law;
- remove copyright, trademark, license, or proprietary notices;
- use the Software to create a competing product by copying its design, behavior, presets, pattern banks, user interface, or underlying logic;
- use the Software in violation of applicable laws.
6. Updates
Notewerks may provide updates, bug fixes, maintenance releases, or feature updates at its discretion. Updates may change features, compatibility, licensing behavior, user interface elements, or system requirements.
A purchase does not guarantee free access to all future major versions unless expressly stated at purchase.
7. Third-Party Components and Services
The Software may use or interact with third-party components, frameworks, licensing services, operating system services, plugin hosts, DAWs, virtual instruments, and online services. Your use of third-party services may be subject to separate terms and privacy policies.
8. License Verification
The Software may use licensing technology to verify your license, activate Pro features, check entitlement status, prevent abuse, and manage license state. License checks may involve communication with Notewerks or third-party licensing providers. Some license information may be cached locally to support practical use.
9. Ownership
The Software is licensed, not sold. Notewerks retains all rights, title, and interest in and to the Software, including all intellectual property rights.
10. Termination
This EULA remains in effect until terminated. It terminates automatically if you materially violate its terms. Upon termination, you must stop using the Software and delete unauthorized copies.
11. Warranty Disclaimer
The Software is provided "as is" and "as available." To the maximum extent permitted by law, Notewerks disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that the Software will be error-free, uninterrupted, compatible with all systems or hosts, or suitable for every workflow.
12. Limitation of Liability
To the maximum extent permitted by law, Notewerks will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, lost projects, lost recordings, business interruption, or DAW/session issues.
To the maximum extent permitted by law, Notewerks' total liability relating to the Software will not exceed the amount you paid for the Software during the twelve months before the claim arose.
13. Governing Law
This EULA is governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where applicable consumer protection laws require otherwise.
